1. Platform Nature & Informational Purposes
Ellaya is a technology-based digital assistant offering organisational, commercial, and
social utilities designed to help users manage tasks, communicate, and transact more efficiently. While our
Platform integrates a wide range of tools — including scheduling, e-commerce, ride-booking, messaging, file
vaults, and social interaction — we do not offer professional, advisory, regulated, or intermediary
services.
All use of the Platform and its features is at your own discretion and risk. Nothing on the
Platform constitutes legal, medical, financial, or other professional advice.
2. Neutral Intermediary Role
Ellaya is a neutral technology platform that enables individuals and businesses to interact,
transact, and organise their personal and commercial activities more efficiently. While we provide intelligent
tools — including scheduling systems, e-commerce features, ride-booking integrations, secure vault storage,
social communication spaces, and messaging and conferencing services — we do not act as a party,
agent, broker, guarantor, or representative in any underlying transaction, service, contract, or
interaction between users or third parties.
Specifically, we do not:
- Represent or endorse any individual, business, product, service, or listing on the Platform
- Guarantee the truthfulness, legality, or accuracy of user-generated content, reviews, vault uploads,
seller descriptions, or appointment details
- Validate or monitor the outcome of scheduled meetings, deliveries, bookings, or online communications
- Provide fulfilment services or payment guarantees — all transactions occur directly between the buyer and
the seller, or between users and external service providers
- Accept responsibility for the actions, omissions, or representations of any user, seller, service
provider, or affiliate using or listed on the Platform
Our services are limited to providing the digital infrastructure that facilitates these
interactions. Any disputes, contractual obligations, service failures, or liabilities arising out of
interactions on the Platform are solely between the relevant parties. You are strongly encouraged to exercise
caution and conduct due diligence when engaging with other users or relying on platform-generated information.
Nothing on the Ellaya Platform creates a partnership, joint venture, employer-employee, agency, or fiduciary
relationship between Ellaya and any user, seller, buyer, or third party.
3. Third-Party Services and Content
Ellaya integrates and relies on a number of third-party services, technologies, and
platforms to deliver a seamless and feature-rich experience. These may include, but are not limited
to, payment processors (e.g. Stripe), ride-booking or location-based services, messaging platforms (e.g.
WhatsApp, Meta), conferencing tools, analytics providers, and cloud-based storage or infrastructure services.
While we endeavour to partner with reputable service providers, you acknowledge and agree that:
- Ellaya does not own, operate, or control these third-party services or their availability
- We do not guarantee the security, accuracy, performance, lawfulness, or reliability of
any third-party tools, data, or content delivered through or accessed via our Platform
- Any access to third-party websites, services, apps, or content is at your own risk, and governed by the
terms and policies of the third party, not Ellaya
- We are not responsible or liable for any direct, indirect, or consequential loss, damage, or harm
resulting from your use of, reliance on, or interaction with such third-party services
This includes situations where:
- A payment fails or is delayed due to a third-party gateway
- A ride is cancelled, delayed, mispriced, or mishandled by a ride integration service
- A message is not delivered or is intercepted when using a third-party API
- A document stored through an external cloud partner is corrupted, lost, or compromised
Ellaya does not endorse or assume responsibility for third-party advertising, external links, user referrals,
or service suggestions that may appear on or through the Platform. You are responsible for independently
reviewing the privacy policies, terms, and risk disclosures of any third-party service you use via the
Platform.
4. Content, Messaging, and Vault Usage
Ellaya enables users to upload, store, transmit, and share content through features such as personal vaults,
messaging and conferencing tools, scheduling notes, seller listings, social features, and file uploads. While
these features are designed to improve convenience, productivity, and social engagement, you use them
at your own discretion and responsibility.
You acknowledge and agree that:
- You are solely responsible for all content you upload, submit, store, transmit, or
share on or through the
Platform, including its accuracy, legality, and integrity
- Ellaya does not monitor, moderate, verify, or approve user-generated content, and shall
not be held liable
for any loss, harm, liability, or reputational damage arising from content created or shared by users
- You must not use our messaging, vault, scheduling, or conferencing systems to transmit unlawful,
offensive, infringing, misleading, or malicious material, nor to harass, defraud, or exploit others
Vault Usage and Data Storage
- We do not warrant or guarantee that vault-stored data will be perfectly secure,
retrievable, or immune
from data corruption, deletion, or external attack
- You are responsible for backing up your own content, particularly sensitive or
irreplaceable files
- We are not liable for any loss of vault data due to service outages, user error,
third-party breach, or
unauthorised access beyond our reasonable control
Platform Misuse and System Abuse
- Abuse of messaging or conferencing services (spam, harassment, fraud, etc.)
- Storage or sharing of prohibited content (e.g. copyrighted material, harmful code, or personal data
belonging to others without consent)
- Attempted use of the vault or messaging tools for unlawful or exploitative purposes
Ellaya reserves the right — but assumes no obligation — to investigate or take action in response to reports
of misuse.
5. Availability and Reliability
While Ellaya is designed to help users stay organised, transact efficiently, and communicate seamlessly, you
acknowledge that the Platform and its services are offered on an “as is” and “as available” basis. We do not
warrant or guarantee uninterrupted access, real-time performance, or error-free operation across any part of
the Platform.
In particular, we do not guarantee:
- That scheduling features will always process appointments accurately or notify all parties on time
- That e-commerce listings, transactions, payments, or delivery confirmations will be received or processed
without error or delay
- That ride-booking integrations will reflect accurate availability, pricing, wait times, or successful
matching with a third-party provider
- That messaging, conferencing, or file-sharing features will function continuously or retain conversation
history or files without interruption
- That vault-stored content will always be retrievable or accessible without technical interruption or
third-party dependency
We may need to temporarily or permanently suspend, modify, or limit parts of the Platform to perform
maintenance, address security threats, comply with legal obligations, or for any other operational reason.
Where reasonably possible, we will give advance notice, but this is not guaranteed.
User Responsibility
- Verifying any scheduled event, purchase, or service independently
- Backing up important data or communications stored or transmitted via the Platform
- Making appropriate contingency plans for time-sensitive tasks or transactions
- Ensuring you have compatible hardware, software, and internet access to use the Platform
To the fullest extent permitted by law, Ellaya is not liable for losses, damages, or
disruptions caused by:
- Scheduled or unscheduled downtime
- Delays in third-party fulfilment or delivery
- Technical failures, outages, or bugs
- External cyberattacks or denial of service
- User error or incompatibility
6. Limitation of Liability
To the maximum extent permitted by law, Ellaya, its officers, directors, shareholders,
employees, agents,
partners, licensors, and affiliates shall not be liable for any direct, indirect, incidental,
special,
consequential, exemplary, punitive, or economic losses or damages arising out of or in connection with:
- Your access to, use of, or inability to use the Platform or any of its features
- The failure, delay, or inaccuracy of any scheduling, messaging, vault, e-commerce, or ride-booking
function
- Transactions, services, or deliveries conducted between users or with third-party providers
- The use of or reliance on user-generated content, seller listings, advertisements, communications, or
representations
- Any unauthorised access to, use of, or alteration of your data, vault contents, communications, or profile
- Any bugs, errors, service outages, system failures, or data loss within or outside of our reasonable
control
- Viruses, malicious software, or the actions of third parties on or through the Platform
- Any breach of contract, tort (including negligence), misrepresentation, or statutory duty in connection
with your use of the Platform
Exclusion of Certain Losses
- Loss of business, revenue, profits, anticipated savings, data, or goodwill
- Personal injury, emotional distress, or property damage arising out of platform use
- Any loss resulting from reliance on content, tools, notifications, or automation features
- Third-party platform failures (e.g. Stripe, Meta, ride APIs)
Consumer Law Rights
Nothing in this Disclaimer shall exclude or limit liability that cannot be excluded under applicable UK law,
including:
- Liability for death or personal injury caused by our negligence
- Liability for fraud or fraudulent misrepresentation
- Any rights or remedies available to you as a consumer under the Consumer Rights Act 2015
7. No Guarantee of Success or Suitability
Ellaya provides a suite of digital tools to assist users with task organisation, communication, scheduling,
storage, e-commerce, ride-booking, and personal productivity. However, we make no representations,
warranties,
or guarantees that use of the Platform or any of its features will result in:
- Business growth, customer acquisition, sales, or income
- Improved efficiency, productivity, or organisation
- Reliable delivery of communications, bookings, or scheduled events
- Increased online visibility or social engagement
- Accurate, effective, or legally compliant business operations
You understand and accept that outcomes depend on many factors outside of our control, including your
individual circumstances, device setup, user behaviour, network reliability, and the performance of
third-party services.
No Professional Advice or Tailored Functionality
Ellaya does not provide:
- Legal, financial, tax, medical, or professional advice
- Individually tailored automation or content recommendations
- Custom services to meet unique business models or personal objectives
Any reliance on platform-generated tools, listings, integrations, notifications, or analytics is entirely at your own discretion and risk.
8. Legal and Regulatory Disclaimers
Ellaya operates under UK law. Nothing in this Disclaimer excludes liability that cannot be lawfully limited
or disclaimed under the Consumer Rights Act 2015, the UK GDPR , or other
applicable laws.
If any clause is held to be invalid, the rest shall remain in full force.
Compatibility and Limitations
We also do not guarantee that:
- The Platform will be compatible with your specific browser, hardware, software, or device configurations
- Platform tools will meet your functional, aesthetic, or accessibility requirements
- All features will be available, functional, or maintained over time
We reserve the right to modify, suspend, or discontinue any feature without prior notice or liability.
